1. ACCEPTANCE OF TERMS
Welcome to Vypio Social ("Vypio," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Vypio Social governing your access to and use of our website, mobile application, and related services (collectively, the "Service" or "Platform").
BY ACCESSING OR USING VYPIO, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use our Service.
1.1 Agreement to Terms
By creating an account, accessing, or using any part of the Vypio platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Community Guidelines, and any additional terms and policies referenced herein.
1.2 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes through the Service, via email, or by posting a notice on our website. Your continued use of Vypio after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

Certain features or services may be subject to additional terms and conditions, which will be presented to you at the time you access such features or services. Those additional terms are incorporated into these Terms by reference.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Age Requirements
You must be at least 13 years of age to use Vypio. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use Vypio under the supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these age requirements.
2.2 Account Creation
To access certain features of Vypio, you must create an account. When creating an account, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your password
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your password with others or allow others to access your account. Vypio is not liable for any loss or damage arising from your failure to maintain account security.
2.4 One Account Per User
You may only create and maintain one account. Creating multiple accounts for the purpose of manipulating the platform, evading bans, or engaging in fraudulent activity is strictly prohibited and may result in permanent suspension of all associated accounts.
2.5 Account Termination by User
You may terminate your account at any time through your account settings. Upon termination, your right to access and use the Service will immediately cease. However, certain provisions of these Terms will survive termination, including but not limited to intellectual property rights, disclaimers, and limitations of liability.
3. USER CONTENT AND CONDUCT
3.1 User-Generated Content
Vypio allows users to post, upload, share, and transmit content including text, photos, videos, links, and other materials ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.
3.2 License Grant to Vypio
By posting User Content on Vypio, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service. This license includes the right to:
Make your User Content available to other users of the Service
Use your User Content for promotional purposes, including marketing materials
Modify or adapt your User Content for technical compatibility
Archive and store your User Content
This license continues even if you stop using Vypio, except that we will stop publicly displaying your User Content within a reasonable time after you delete it or terminate your account, unless retention is required by law or the content has been shared by others.
3.3 Content Ownership and Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. By posting User Content, you represent and warrant that:
You own or have obtained all necessary rights, licenses, and permissions to share the content
Your content does not violate these Terms, applicable laws, or third-party rights
Your content is accurate and not misleading
You have obtained consent from any individuals featured in your content where required
3.4 Prohibited Content
You agree not to post, upload, or transmit any User Content that:
Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
Contains viruses, malware, or other harmful code
Promotes violence, discrimination, or hatred against individuals or groups
Contains false or misleading information intended to deceive others
Exploits or harms minors in any way
Violates the privacy or publicity rights of others
Contains unsolicited advertising, spam, or promotional materials
Impersonates any person or entity or misrepresents your affiliation
Interferes with or disrupts the Service or servers
3.5 Prohibited Conduct
You agree not to:
Use the Service for any illegal purpose or in violation of any laws
Harass, bully, stalk, or intimidate other users
Engage in hate speech or promote violence
Create fake accounts or use automated systems (bots) without authorization
Attempt to gain unauthorized access to the Service or other users' accounts
Scrape, data mine, or extract data from the Service without permission
Circumvent any security features or access controls
Sell, transfer, or license your account to others
Manipulate metrics such as likes, followers, or engagement
Engage in coordinated inauthentic behavior or manipulation campaigns
Post sexually explicit content or pornography
Engage in commercial activities without our prior written consent
3.6 Enforcement and Moderation
Vypio reserves the right, but has no obligation, to monitor, review, or remove User Content at our sole discretion. We may remove content or suspend/terminate accounts that violate these Terms without prior notice. We may also cooperate with law enforcement authorities in investigating potential criminal activities.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Vypio's Intellectual Property
The Service, including its software, design, graphics, text, images, logos, and other content (excluding User Content), is owned by Vypio and protected by copyright, trademark, and other intellectual property laws. The Vypio name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vypio or its affiliates.
4.2 Limited License to Use Service
Subject to your compliance with these Terms, Vypio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include any right to:
Modify, copy, distribute, or create derivative works of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service for commercial purposes without authorization
Remove or alter any proprietary notices or labels
4.3 Copyright Infringement
Vypio respects the intellectual property rights of others and expects users to do the same. We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).

If you believe your copyrighted work has been infringed on Vypio, please send a written notice to our designated Copyright Agent including:
Your physical or electronic signature
Identification of the copyrighted work claimed to have been infringed
Identification of the allegedly infringing material and its location on the Service

A statement that you have a good faith belief that the use is not authorized
A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

4.4 Repeat Infringer Policy
Vypio has adopted a policy of terminating, in appropriate circumstances, accounts of users who are deemed to be repeat infringers.
5. PRIVACY AND DATA PROTECTION
5.1 Privacy Policy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, share, and protect your personal information. By using Vypio, you consent to our collection and use of information as described in the Privacy Policy.

7. PAYMENTS AND SUBSCRIPTIONS

7.3 Subscriptions
If you purchase a subscription:
Your subscription will automatically renew at the end of each billing period unless canceled
You will be charged the then-current subscription rate
You may cancel your subscription at any time through your account settings
Cancellation takes effect at the end of the current billing period
No refunds are provided for partial subscription periods
7.4 Refund Policy
All sales are final unless otherwise required by law. We do not provide refunds for Paid Services except in cases of:

8. ARTIFICIAL INTELLIGENCE FEATURES

Vypio may incorporate artificial intelligence features to enhance user experience, including but not limited to content recommendations, chatbots, content moderation, and personalization features.
8.2 AI Content Generation
If AI-generated content is provided through the Service:
AI-generated content is provided "as is" without warranties of accuracy
You are responsible for reviewing and verifying AI-generated content before use
We are not liable for errors, inaccuracies, or harm resulting from AI-generated content
AI-generated content may be based on publicly available information and user inputs
8.3 Training and Improvement
By using AI features, you acknowledge that:
Your interactions may be used to improve AI systems
AI systems learn from aggregated user data while respecting privacy
We implement measures to prevent AI systems from generating harmful content
9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9.2 No Warranty
VYPIO DOES NOT WARRANT THAT:
The Service will meet your requirements
The Service will be available at all times
User Content is accurate, reliable, or lawful
Defects will be corrected
The Service is free from viruses or harmful components
9.3 User Content Disclaimer
We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content. You acknowledge that by using the Service, you may be exposed to content that is offensive, harmful, inaccurate, or otherwise inappropriate.
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYPIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Unauthorized access, use, or alteration of your transmissions or content
Any content obtained from the Service
Any other matter relating to the Service
IN NO EVENT SHALL VYPIO'S TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO VYPIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Vypio, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
Your access to or use of the Service
Your User Content
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
11. DISPUTE RESOLUTION

If we cannot resolve a dispute informally, you and Vypio agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration rather than in court, except that:
You may assert claims in small claims court if they qualify
Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights

11.4 Opt-Out
You may opt out of the arbitration agreement by sending written notice to legal@vypio.com within 30 days of first accepting these Terms. If you opt out, you and Vypio agree to resolve disputes in the courts specified below.
11.5 Jurisdiction and Venue
If arbitration does not apply, you agree that any legal action or proceeding shall be brought exclusively in the courts located in [Your Jurisdiction], and you consent to personal jurisdiction in such courts.
12. TERMINATION
12.1 Termination by Vypio
We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, and effective immediately, including but not limited to if:

We suspect fraudulent, abusive, or illegal activity
Required by law or legal process
Continued provision would create risk or liability
We discontinue the Service
12.2 Effect of Termination
Upon termination:
Your right to access and use the Service immediately ceases
We may delete your account and User Content
You remain liable for all obligations incurred prior to termination
Provisions that by their nature should survive will survive termination
12.3 No Liability
Vypio shall not be liable to you or any third party for any termination of your access to the Service or deletion of your content.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Vypio regarding the Service and supersede any prior agreements.
13.2 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
